    In recent years, policymakers and researchers across various disciplines have focused on mapping the contours of the contemporary global value chain (GVC). This paper examines the value of networks and related concepts, such as network failures, as lenses through which the GVC can be better understood, particularly in addressing human rights and environmental issues. Modern legal frameworks find it challenging to integrate these globally extended, network-like business structures within the bounds of traditional legal paradigms. The resulting regulatory landscape has, therefore, evolved into a complex mosaic of public and private norms and standards, creating nebulous and uncertain legal risks and responsibilities across the GVC. This ongoing shift places the management of this complex, multi-dimensional legal risk and the compliance function within the firm at the core of contemporary business organization and operations. Developing a framework for thinking about how businesses navigate these new legal risks becomes crucial. In this context, we propose three concepts for such a framework: genuine compliance, simulated compliance, and second-order observed compliance.

    Research and development (R&D) in the pharmaceutical sector traditionally operated with in closed, siloed institutional settings, driven by intellectual property rights concerns that viewed data sharing as a threat. However, the evolving scientific landscape demands a more collaborative approach involving external engagement and dynamic partnerships. To address this, a hybrid contractual framework combining smart contracts, non-fungible tokens (NFTs), and traditional licensing schemes is introduced. This framework was developed through an experimental pilot platform that adhered to FAIR data principles, allowing participants to store, find, and reuse data related to drug discovery. The platform utilizes blockchain technology to document real-world assets in an immutable digital ledger. Smart contracts and NFTs offer an open and global collaborative platform for advancing drug research assets, overcoming hurdles related to standardization, interoperability, and disclosure. This framework aims to reconcile the conflict between the demand for greater data sharing and the protection of rightsholder interests in pharmaceutical R&D. By providing mechanisms for resolving practical challenges, it facilitates further cooperation and innovation in the field.

    This paper takes the occasion of French DJ David Guetta's use of generative AI tools to create lyrics and a voice in the style of Eminem, which he then used in one of his concerts, as the basis for an exploration of the shifting meaning of creativity and originality in the age of generative AI. Our main contention is that the Guetta form of creativity with generative AI tools differs in certain important respects from what has come before. The paper describes an iterative, dynamic process of conception, prompting, generation, refining, and deployment to characterise creativity in this context. Nevertheless, we contend that copyright – specifically the concept of originality as articulated in US federal law – is a sufficiently durable legal mechanism that can manage these new cultural forms, and that the two basic requirements of modern copyright law (a tangible medium of expression and a modest degree of creativity) remain relevant in identifying the scope of legal protection. The paper argues that the David Guetta story reveals something more general about creativity in a digital age, namely that while hybrid-networked (i.e., human – corporate – machine) creators have always created hybrid-networked cultural forms (i.e., creations that blend human and technology-constituted elements), such hybridity becomes increasingly visible and complex in the context of a new world of generative AI. At the very least, earlier – and influential – models of creativity as human-driven involving creation ex nihilo become harder to sustain in a new age of generative AI. But this does not mean copyright or notions of originality are redundant or that copyright law cannot accommodate Guetta and other cases. Such an account seems important as it challenges the hegemonic and reductive view that AI “generates” artistic works autonomously and avoids reducing the copyright issues raised by such creative works to the related but distinct question of whether learning models rely on copyrighted data. As such, copyright law should remain an important mechanism to facilitate genuine creators who are using AI systems in innovative and unique ways to push the boundaries of their creativity.

    A defining feature of digital transformation is the sensorization of everything and the concomi-tant creation of vast amounts of data covering every aspect of social and economic life. It is unfortunate that the value of this vast data pool has not been fully leveraged in tackling climate change and other environmental challenges facinghumanity. This article suggests that this failure is a product of the closed and siloed character of the mod-ern data ecosystem in which some stakehold-ers deem the collected data as their proprietary asset and have little incentive to share it with those interested in creating new value from such data, including, for example, by developing inno-vative technologies relevant for tackling climatechange. This article argues that a user-held data model, in which data are reconceptualized as the property of the users who generate it, might better unlock or activate the 'green value' of these data and, by doing so, facilitate the creation of innovative green technologies. This paper focuses on three settings where a user-centric approach to data might use-fully contribute to achieving these environmental goals, namely, facilitating green lifestyles, fos-tering sustainability in green cities and building green innovation ecosystems. Based on the fore-going discussion, this article concludes by iden-tifying some normative principles that might be useful to guide regulatory interventions in this context.

    The General Data Protection Regulation (GDPR) contains a blanket prohibition on the transfer of personal data outside of the European Economic Area (EEA) unless strict requirements are met. The rationale for this provision is to protect personal data and data subject rights by restricting data transfers to countries that may not have the same level of protection as the EEA. However, the ubiquitous and permeable character of new technologies such as cloud computing, and the increased inter-connectivity between societies, has made international data transfers the norm and not the exception. The Schrems II case and subsequent regulatory developments have further raised the bar for companies to comply with complex and, often, opaque rules. Many firms are, therefore, pursuing technology-based solutions in order to mitigate this new legal risk. These emerging technological alternatives reduce the need for open-ended cross-border transfers and the practical challenges and legal risk that such transfers create post-Schrems. This article examines one such alternative, namely a user-held data model. This approach takes advantage of ‘personal data clouds’ that allows data subjects to store their data locally and in a more decentralised manner, thus decreasing the need for cross-border transfers and offering end-users the possibility of greater control over their data.

    Transhuman enhancements – technologies that boost human capabilities – are everywhere: bodily implants, wearables, portable devices, and smart devices embedded in everyday spaces. A key feature of these technologies is their capacity to generate data from the user side and ‘give back’ that data to users in the form of personalized insights that can influence future choices and actions. Increasingly, our choices are made at the shifting interface between freedom and data, and these enhancements are transforming everyone into human-digital cyborgs or quantified selves. These personalized insights promise multiple benefits for diverse stakeholders, most obviously greater self-understanding, and better decision-making for end-users, and new business opportunities for firms. Nevertheless, concerns remain. These technologies contribute to the emergence of new forms of post-Foucauldian surveillance that raise difficult questions about the meaning, limits, and even possibility of privacy. As personal choice becomes increasingly dependent on data, traditional legal conceptions of privacy that presuppose an independent and settled sphere of private life over which an autonomous ‘person’ enjoys dominion become strained. Transformations in the practice of privacy are occurring, and we are experiencing the augmentation of a narrative of the protection of privacy rights of persons with a more situational, human-centered, and technology-driven conception of privacy-by-design. This article describes such privacy enhancing technologies and raises the question of whether such an approach to privacy is adequate to the complex realities of the contemporary data ecosystem and emerging forms of digital subjectivity.

    In this chapter, we explain the benefits of introducing a Coding for Lawyers course in the legal curriculum and present our initial experiences with the course. The chapter outlines the broader context of the transformation of education in a digital age; describes the importance of computer code in a legal context, particularly in terms of the on-going disruption of the legal profession; and, introduces the main features of the course and its initial reception. The main argument is to suggest that the lawyers of the future will be transaction engineers managing the responsible deployment of new technologies and the design of a new global architecture, and that to perform this function effectively, legal professionals need to develop a number of new skills and capacities, including an understanding of the basic concepts and power of coding.

    This chapter introduces two connected arguments about the future of the legal profession. First, the ongoing “digital revolution” will continue to disrupt legal work as it has traditionally operated. Various aspects of this disruption are outlined. Second, in contrast to previous technological revolutions, the “deployment” of disruptive innovation in the context of the digital revolution seems unlikely to be primarily “state-led.” Instead, new technologies will be deployed by a coalition of diverse private actors (entrepreneurs, technologists, consultants, and other professionals) working in collaboration. Crucial amongst these actors will be the lawyer of the future operating as “transaction engineer.” The chapter outlines this transaction engineer function and its importance in the deployment of emerging digital technologies.

    This paper explores the issue of ‘re-making’ corporate law through the prism of the United Nations’ recent efforts at reducing legal obstacles experienced by micro-, small- and medium-sized enterprises in starting and scaling a business. In order to be fully successful, this paper suggests that the UN should go back to business fundamentals and should attempt to build from the ground up based on the real world needs of entrepreneurs, rather than work off already existing corporate legal systems. In this way, it is possible to engage in a more imaginative form of regulatory design in which a clear, open and preferential legal framework for stimulating innovation and business creation can be developed.

    Computer science, robotics and AI have all developed rapidly in recent years, bringing profound changes to all aspects of human life. However, the emergence and proliferation of these new technologies has not occurred within the bounds of traditional organizational, ethical and regulatory systems. We have reached an inflection point, where we need to pursue new business models and normative frameworks to underpin these fast-developing technologies. This introductory chapter briefly maps the evolution of these different technologies and argues for a new, more forward-oriented approach to the business and normative challenges that are created. The discussion ends with a review of the chapters that comprise this volume.

    Identifying and then implementing an effective response to disruptive new AI technologies is enormously challenging for any business looking to integrate AI into their operations, as well as regulators looking to leverage AI-related innovation as a mechanism for achieving regional economic growth. These business and regulatory challenges are particularly significant given the broad reach of AI, as well as the multiple uncertainties surrounding such technologies and their future development and effects. This chapter identifies two promising strategies for meeting the “AI challenge,” focusing on the example of Fintech. First, “dynamic regulation,” in the form of regulatory sandboxes and other regulatory approaches that aim to provide a space for responsible AI-related innovation. An empirical study provides preliminary evidence to suggest that jurisdictions that adopt a more “proactive” approach to Fintech regulation can attract greater investment. The second strategy relates to so-called “innovation ecosystems.” It is argued that such ecosystems are most effective when they afford opportunities for creative partnerships between well-established corporations and AI-focused startups and that this aspect of a successful innovation ecosystem is often overlooked in the existing discussion. The chapter suggests that these two strategies are interconnected, in that greater investment is an important element in both fostering and signaling a well-functioning innovation ecosystem and that a well-functioning ecosystem will, in turn, attract more funding. The resulting synergies between these strategies can, therefore, provide a jurisdiction with a competitive edge in becoming a regional hub for AI-related activity.

    In an age of constant, complex and disruptive technological innovation, knowing what, when, and how to structure regulatory interventions has become much more difficult. Regulators can find themselves in a situation where they believe they must opt for either reckless action (regulation without sufficient facts) or paralysis (doing nothing). Inevitably in such a situation, caution tends to trump risk. But such caution merely functions to reinforce the status quo and the result is that new technologies may struggle to reach the market in a timely or efficient manner. The solution? Law-making and regulatory design needs to become more proactive, dynamic and responsive. So how can regulators actually achieve these goals? What can they do to promote innovation and offer better opportunities to people wanting to build a new business around a disruptive technology or simply enjoy the benefits of a disruptive new technology as a consumer? The chapter focuses on three possible strategies for ‘regulation tomorrow’.

    Introduction: Japan as a 'low crime culture' Although English language criminology has tended to neglect Asia, Japan has proved to be the focal point for a significant body of comparative criminological research. The main impetus for this research has been the perceived uniqueness of Japan. Japan achieved the transition from the feudal dictatorship of the Tokugawa family to a highly affluent, secularised, post-industrial society in a little over a century without thekind of rapid increase in crime rates found in other countries. As such, Japan is one of the rare examples (often mentioned alongside Switzerland) of a society that has avoided the modernisation-crime nexus that has often been identified bycriminologists (Shelly 1981). Accounting for this 'anomaly' (Archer and Gartner 1981) - examining the reasons why Japan has enjoyed such low levels of officially recorded crime in spite of undergoing a period of profound and rapid social change - has interested criminologists in search of a better understanding of the causes of crime and more effective formsof crime control.

    In July 2020, the Court of Justice of the European Union (CJEU) in Data Protection Commissioner v Facebook Ireland Limited, Maximillian Schrems (“Schrems II”) invalidated the EU-US Privacy Shield adequacy decision but found that Standard Contracting Clauses (SCCs) are a valid mechanism to enable GDPR-compliant transfers of personal data from the EU to jurisdictions outside the EU/EEA, as long as various unspecified “supplementary measures” are in place to compensate for any gaps in data protection arising from the third country law or practices. The effect of this decision has been to place regulators, scholars, and data protection professionals under greater pressure to identify and explain these “supplementary measures” to facilitate cross-border transfers of personal data. This chapter critically examines the current framework for cross-border transfers after Schrems II, including the new SCCs adopted by the European Commission, as well as the current European Data Protection Board (EDBP) guidance on “supplementary measures.” We argue that the so-called “supplementary measures” are not “supplementary” and that the CJEU’s characterization of such measures as “supplementary” undermines the original clarity of GDPR with regards to the required standards for the security of processing as well as the available mechanisms for cross-border transfers of personal data. We conclude that despite the legal uncertainty introduced by the CJEU several post-Schrem II developments have been helpful to increase awareness and improve the overall safeguards associated with cross-border transfers of personal data. These include the new SCCs and an increased understanding of the capabilities and limitations of the technical and organizational measures, including encryption, pseudonymization, and multi-party processing. Technical solutions such as multiparty homomorphic encryption (HE) that combine these three technical measures while still allowing for the possibility to query and analyze encrypted data without decrypting it has significant potential to provide effective security measures that facilitate cross-border transfers of personal data in high-risk settings.

    This chapter outlines the dynamic context and multiple challenges of data sharing in the contemporary data ecosystem, specifically as it relates to healthcare. Here, we define “data sharing” as the practice of sharing health-related data between a number of data controllers and processors. Data collected in this manner can come from the provision of health, clinical trials, observational studies, public health surveillance programs, and other health data collection methods. Several justifications for such sharing are introduced. Our main contention is that the regulatory environment today is an increasingly complex and rapidly evolving combination of norms and principles. To navigate this environment successfully requires careful analysis and judgment from all stakeholders across diverse fields of technology and the law. The purpose of this volume, therefore, is to offer a series of case studies that integrate theoretical and practical perspectives and illustrate how to effectively navigate this complex and rapidly evolving space.

    Large companies currently face an existential crisis because of a series of new pressures that have emerged over recent decades in a global, digital economy. The model of the centralized, hierarchical firm that was hugely successful in an earlier phase of industrial capitalism seems less well-equipped to meet the challenges of today, particularly the need to innovate continually.     The publication of the so-called “Panama Papers” has focused public interest on how elaborate corporate structures and offshore tax havens can be used by politicians, celebrities and other elites to conceal their beneficial ownership of companies and obscure their personal assets. Rather than taking the Panama Papers as an indication of the need for more and stricter disclosure and reporting rules, however, this report advocates an alternative approach. We need to start by acknowledging that many companies are currently experiencing “disclosure and reporting fatigue”, in which the constant demand for “more” and “better” transparency and reporting is having the unintended effect of promoting indifference or evasiveness. Disclosure and reporting is widely perceived as an obligation to be fulfilled and not as an opportunity to add value to a firm. This is confirmed by the findings of an empirical study that examines how disclosure rules operate in practice across various jurisdictions. The key takeaway of this empirical study is that – even in those jurisdictions that have a robust disclosure regime – the majority of firms engage in “grudging” or “boilerplate” compliance in which ownership and control structures are not adequately revealed in an accessible way and – perhaps more importantly – the impact of these ownership and control structures on the governance of a company are obscured.Rather than focus on introducing more stringent and mandatory disclosure rules, the report advocates an approach based on the current communication strategy of a minority of firms in our sample. Interestingly, a small number of firms engage in what we characterize as “open communication” in which information on control structures and its effect on governance are presented in a direct, accessible and highly personalized manner. Such firms seem to recognize the commercial and other strategic benefits to be gained from open communication, and the paper explores the implications of such an approach for both business and regulators.

    グローバルバリューチェーン(GVC)は世界経済のインフラともいえるが、近年環境・人権保護を目的としてGVC全体に適用される公法規制が主要国に導入され、公法並立状態が発生している。EUも人権環境デューディリジェンス指令の採択を決定した。複数国にまたがる企業群を包摂するGVCにこれらをそのまま伝統的手法に基づいて適用することはコストを増大させる。そのためにはGVCの適切なガバナンスが必要で、国際私法の発想を参考にした法選択方法論開発が有効であると考えられる。同時に、国境を越えたネットワーク全体の責任という発想による検討も有用である。またAI活用の可能性も睨む。

    This project aims to critically evaluate the debate on horizontal shareholding, which is the simultaneous holding of shared by investors in competing companies, and competition law.To provide a new perspective, this project suggests that empirical research needs to be done on active investors as this may facilitate to map the causal links between horizontal shareholding and anti-competitive effects. The project will focus on corporate venture capital. In doing so, the research can focus on Asia’s e-commerce and fintech startups.
    The research achievements are twofold. First, the empirical research has shown that venture capitalists have intervened often in the investees' corporate strategies. This has been most obvious in the case of Ola and Uber. Being investor in both firms, Softbank has been urging Ola to merge with Uber. Softbank also tried to engineer a merger between Flipkart and Snapdeal. There is also information that it was Softbank pushing for the merger between Uber and Grab in South-East Asia. These engineered mergers beg the question whether the concept of killer acquisitions should not be reconsidered towards acquisitions to kill competition by a horizontal shareholder or common owner. Second, the theoretical research has focused on the theory of "quiet life" to explain the reason why horizontal shareholding or common ownership could raise prices or limit product choice. The interesting part of this theory is that it has also been used to explain weaknesses within the keiretsu structure, despite the keiretsu being about cross-ownership. The paradox is that to tackle the quiet life, corporate law reforms have been introduced and these in turn led to the creation of common ownership. This triggers the question on the appropriateness of corporate law to tackle negative outcomes of common ownership.

    The research has established that common ownership is present in Asia. The research has also indicated the reason. Common ownership as a concept is broader than what the original literature had in mind. The concept of common ownership is still not settled. Common ownership literature has grown within a certain environment: holding shares by institutional investors in publicly traded firms. Asia has shown that the phenomenon is also present in the firms closely held by some major shareholders or in startup firms. Therefore, we need to be specific on what kind of common ownership we will deal with when discussing the applicability of the law.
    This part of the project will summarize the existing literature on coordinated and unilateral conduct to identify that the current literature is mainly looking for an argument to apply competition law to horizontal shareholding as such. This will be the basis for investigating to what extent some of the Asian competition laws have an opening to apply to horizontal shareholding as such and theorize on whether it is necessary. However, based upon the empirical study on the influence of corporate VCs on corporate governance of FY 2022, this stage of the research will also show that horizontal shareholding could be subject to more traditional forms of competition law. Horizontal shareholders could be intermediaries contributing to a hub-and-spoke cartel or to joint dominance. In the light of this, the research will 1) contribute to the clarification of these concepts, and 2) focus on whether existing detection methods, like leniency, are sufficient.
